General private law, which is mainly codified in the Civil Code (Bürgerliches Gesetzbuch − “BGB” in short), not only forms the backbone of business law, but also provides a large part of the rules applicable to almost every commercial matter.
When it comes to contract drafting, it is crucial to dedicate one’s full attention to the provisions of the BGB on legal transactions (Book 1, Chapter 2 – i.e., section 104 to section 185) as well as on those of the law of obligations (Book 2, section 241 to 808).
